Terms of Service

The general terms for using the BILD website and working with BILD.

Project agreements come first

For paid client work, your accepted proposal or signed project agreement sets the specific scope, pricing and commercial terms. These website terms provide the general framework.

1. About these terms

These Terms of Service govern your use of the BILD website and form the general framework for services supplied by BILD unless a signed proposal, statement of work or other written agreement says otherwise. For a client project, the project-specific agreement takes priority if there is a conflict.

2. Services

BILD may provide website strategy, design, development, SEO, digital marketing, applications, CRM or operational systems, consulting and related digital services. The exact scope, deliverables, timeline, assumptions and exclusions for a project will be described in the applicable proposal or project agreement.

3. Proposals and project approval

A proposal is not binding until it is accepted in the manner stated in the proposal and any required deposit or first payment has been received. Estimates can change if the scope, timeline, functionality or client requirements change.

Requests outside the agreed scope may be quoted separately or handled through a written change request.

4. Client responsibilities

Clients are responsible for providing accurate information, content, brand assets, access credentials, approvals and feedback reasonably needed to complete the work. Delays in providing these items may move the project timeline.

The client confirms that materials supplied to BILD can lawfully be used and do not knowingly infringe another person's intellectual property, privacy or other rights.

5. Fees, invoices and taxes

Fees, payment stages, currencies and due dates are stated in the proposal or invoice. Unless expressly stated otherwise, quoted fees do not include taxes, transaction charges, advertising spend, domain costs, premium software licences or third-party platform fees.

Work may be paused when an undisputed invoice is overdue. Final files, production deployment or ownership transfer may be withheld until amounts due for the applicable project have been paid.

6. Revisions and approvals

Included revision rounds, if any, are stated in the project scope. Feedback should be consolidated and provided within a reasonable time. Once a stage is approved, substantial changes to that stage may be treated as additional scope.

7. Timelines and launch dates

Dates are good-faith targets unless a written agreement expressly guarantees a fixed deadline. BILD is not responsible for delays caused by late client materials, third-party services, platform outages, review delays, force majeure or requirements added after work begins.

8. SEO and marketing results

Search rankings, advertising performance, traffic, leads and revenue depend on many factors outside BILD's control, including search-engine algorithms, competition, market demand, the client's offer, website history and third-party platforms.

BILD does not guarantee a specific ranking, traffic level, lead volume, revenue amount or advertising outcome unless a signed agreement expressly says otherwise.

9. Third-party services

Projects may rely on hosting providers, domains, payment processors, analytics platforms, APIs, plugins, advertising networks, app stores or other third-party services. Their availability, pricing, policies and performance are controlled by those providers. The client is responsible for complying with third-party terms applicable to its accounts.

10. Intellectual property

Unless the project agreement states otherwise, the client receives ownership of custom final deliverables created specifically for the client after all amounts due for those deliverables are paid. BILD retains ownership of its pre-existing tools, reusable code, methods, templates, know-how and internal systems used to create the deliverables.

Third-party fonts, libraries, stock assets, plugins and software remain subject to their own licences.

11. Portfolio and confidentiality

BILD will protect confidential information shared for a project and use it only as reasonably necessary to perform the work, subject to legal obligations.

BILD will not publicly present confidential internal systems, private data or restricted client materials as portfolio work without appropriate permission. Publicly available project work may be referenced only where permitted by the project agreement or client approval.

12. Client data and backups

Where BILD handles client data, both parties should agree on appropriate access and security measures. Unless ongoing maintenance or hosting is part of the agreement, the client is responsible for maintaining production backups and account access after handover.

13. Warranties

BILD will perform services with reasonable professional care. Except for express commitments in a written project agreement, services and website content are provided without additional warranties to the fullest extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law, BILD will not be liable for indirect, incidental, special or consequential losses, lost profits, lost business opportunities, loss of data caused by third-party systems, or losses arising from circumstances outside BILD's reasonable control.

Where liability cannot legally be excluded, any financial cap or allocation of liability will be governed by the applicable signed project agreement and mandatory law.

15. Suspension and termination

Either party may end a project according to the cancellation or termination terms in the project agreement. BILD may suspend services for material breach, non-payment, unlawful use, security risk or abusive conduct. Fees for work already completed and non-refundable third-party costs remain payable.

16. Acceptable website use

You may not misuse this website, attempt unauthorised access, interfere with security, distribute malicious code, scrape the website in a way that disrupts service, impersonate another person, or use BILD content unlawfully.

17. Governing terms and disputes

For paid client work, the governing law, venue and dispute process will be stated in the applicable proposal or project agreement. Use of this public website is also subject to any mandatory law that applies to BILD and to rights that cannot legally be waived in the visitor’s jurisdiction.

18. Changes

BILD may update these website terms from time to time. Updates apply from the effective date shown on this page. Changes to an active signed project agreement require the process stated in that agreement.
